Business and Investment Transactions

We represent a broad range of business clients, including established companies, start-up ventures and investors, in a variety of industries, including manufacturing, distribution, retail, professional and other services, construction, environmental and waste services, agriculture, oil and gas exploration, real estate investment, investment funds and equity and debt financing transactions. We have advised many entrepreneurs launching new business ventures, not only in establishing a legal entity but also in tax and financial planning for the new venture, negotiating the structure of the business entity with other investors, and obtaining financing.

We frequently represent clients in such major transactions as sales and purchases of businesses, combinations, divestitures, and reorganizations. Our involvement can include negotiating the terms of the transaction, obtaining financing, and evaluating the business being bought, sold, or reorganized. We also represent our clients in their general, day-to-day business affairs, such as business negotiations, contracts, executive compensation, insurance issues, and dispute resolutions, and we are frequently invited by our clients to attend board meetings.

Tax Matters

We are regularly involved in all phases of federal, state and local taxation, from annual income tax planning to the structuring of business transactions to achieve the most favorable after-tax results. For many of our clients, we prepare individual, partnership, limited liability company, trust and estate income tax returns, estate and gift tax returns, and private foundation tax returns; we also review corporate tax returns.

Real Estate

Our firm has extensive experience with real estate transactions, and regularly represents clients in the purchase, sale, exchange, development, and leasing of all types of real estate, including residential, commercial, industrial, agricultural, and mineral interests. We are well-versed in organizing real estate investment entities, in negotiating and documenting private financings, and in resolving environmental issues affecting the sale and development of real estate, including hazardous materials and wetlands regulation. We represent both owners and contractors in matters relating to improvements to real estate, including construction contracts and the resolution of construction disputes and mechanics' lien matters.

Estate Planning, Probate and Trust Administration

Individuals concerned about the disposition of their assets can depend on us for professional counseling in estate and financial planning. We have extensive experience in drafting wills and trusts for estates of all sizes and complexity, from simple wills to large estate plans. Our service is directed at minimizing estate and income taxes, reducing costs and inconvenience of estate administration, and devising plans to provide financial security for our clients' families. We are knowledgeable about the probate of estates and the avoidance of probate, as well as the operation of trusts. Much of our estate planning involves the orderly transition of interests in family-owned or closely-held businesses. We have also created and represent private charitable and public operating foundations.

Representation of Individuals

A large portion of our practice consists of the representation of individuals in a variety of business, tax, and other personal legal matters. For these clients, we offer financial and tax planning; tax return preparation and representation before the I.R.S.; estate planning, the planning of gifts and other methods of transferring wealth within the family; the probate of estates and the operation of trusts; planning for charitable giving; review of investments; the drafting of marital agreements; tax and financial consulting in connection with the dissolution of marriage; review of employment contracts and relationships; residential real estate transactions; and other services.

We represent most of our individual clients in all of their legal affairs.

Other Areas of Concentration

Because of the diverse nature of our clients' legal and business matters--and the growing and changing body of law affecting them--we have developed expertise in other areas of law, including: agricultural, environmental, oil and gas, business insurance (including product liability insurance, financial planning and investment review, resolution of disputes before litigation, and negotiations of all types.

Although our practice is concentrated in commercial, financial, and tax related areas of laws, we counsel our clients in all of their legal matters. However, we recognize that they may need expert advice in areas in which we do not concentrate. Therefore, we maintain regular contacts with experienced attorneys proficient in those areas, whom we can trust to give our clients effective representation at reasonable fees. We assist clients in retaining the best-qualified individuals for specific matters, and in many cases supervise the work of other attorneys.
