Paul Vander Woude

Paul S. Vander Woude joined the firm in 1976, and became a Partner in 1981. He advises clients on a wide range of business and tax matters, including the organization, capitalization and operation of business and investment entities; complex business and investment transactions, such as acquisitions, sales, business combinations, re-capitalizations and financings; the formation of investment funds; commercial real estate transactions and related environmental matters, and business negotiations.

Paul also advises clients in connection with income tax planning and compliance with respect to these transactions. For example, over the past few years Mr. Vander Woude has provided representation to his clients in the following types of transactions: representation of lead investors in the creation of investment funds; acquisition of working interests, beneficial trust interests, reversionary interests and royalties in oil and gas properties in four Texas counties, from multiple sellers; representation of several target corporations in tax free C-Type reorganizations with Fortune 500 companies; representation of creditors in numerous corporate financings, including secured debt financings, convertible preferred stock equity financings, and debt re-structuring as an alternative to bankruptcy; negotiation and documentation of licensing and distribution agreements, including international licensing agreements; representation of borrowers in a Freddie-Mac financing of a 300 unit residential real estate project; and the representation of a developer in the subdivision and sale of multiple commercial tracts to nationally branded end-users.

Mr. Vander Woude received his bachelor of arts degree from Calvin College in 1973, and his juris doctor degree with high honors from Chicago-Kent College of Law, where he was an Associate Justice of the Moot Court Honor Society. He has also completed extensive post-graduate coursework in taxation. Mr. Vander Woude has served on the boards of a number of charitable organizations, including as a founding director of LATH, a charitable organization providing transitional housing for homeless families.
